This Disclosure Agreement ("Disclosure") provides required and voluntary disclosures about the nature of the Astra platform, its AI systems, its interactions with third-party services, and the limitations of its outputs. By using Astra, you acknowledge that you have read and understood these disclosures.

1. AI Agent Nature Disclosure

Astra is entirely operated by artificial intelligence systems. None of the agents in the Astra platform — Legal Agent, Technical Agent, Web Agent, Research Agent, Marketing Agent, or Ops Agent — are human professionals. You are not communicating with a licensed attorney, financial advisor, accountant, engineer, or marketing specialist when interacting with any Astra agent.

The Agent Stack is powered by a combination of large language models, code generation models, and orchestration systems. Astra may update its model stack from time to time. Material changes to the AI systems underlying the platform will be communicated via dashboard notification.

2. Legal Document Disclosure

THE FOLLOWING DISCLOSURE APPLIES TO ALL DOCUMENTS GENERATED BY THE LEGAL AGENT: All agreements, contracts, forms, and legal documents generated by the Astra Legal Agent are AI-generated drafts produced for document preparation assistance purposes only. They are NOT legal advice. They do NOT constitute the work product of a licensed attorney. No attorney-client relationship is formed between you and Astra, or between you and any third party, by reason of any document generated on this platform.

Astra-generated documents include, but are not limited to:

Founder and co-founder agreements
Non-disclosure agreements (NDAs)
Intellectual property assignment agreements
Equity vesting schedules
Independent contractor agreements
Any other legal document produced by the Legal Agent on demand

You are solely responsible for: (a) reviewing all generated documents with a licensed attorney in your jurisdiction before execution; (b) determining whether any generated document is appropriate, enforceable, or legally sufficient for your specific situation; and (c) any consequences arising from executing or relying upon AI-generated documents without independent legal review.

3. Entity Formation Disclosure

The Astra Legal Agent can autonomously file Delaware LLC formation documents via applicable state filing portals and retrieve an Employer Identification Number (EIN) from IRS.gov using Computer Use capabilities. The following disclosures apply to this service:

Astra acts as your agent in completing these filings. You, as the founding principal, remain legally responsible for the accuracy of all information submitted, including business name, registered agent selection, organizer information, and intended business purpose.
Astra is not a registered agent and does not provide registered agent services. Entity formation through applicable third-party portals may include a registered agent selected and provided by those services.
Astra does not provide tax advice. Selection of entity type may have significant tax implications. You are encouraged to consult a tax professional before proceeding with entity formation.
Filing timelines are subject to state and federal processing times outside of Astra's control.
All formation fees charged by the State of Delaware, the IRS, and any third-party filing services are separate from and in addition to Astra's platform fees. These fees are charged directly by the relevant third parties.

4. Third-Party Platform Disclosure

Astra interacts with the following categories of third-party platforms on your behalf via its agent capabilities. Your use of these platforms through Astra is subject to each platform's own terms of service, privacy policies, and community guidelines:

State filing portals — Delaware LLC formation
IRS.gov — Employer Identification Number (EIN) application
Google Ads — Paid advertising campaign management
Meta Ads (Facebook/Instagram) — Paid advertising campaign management
Website deployment platforms — Landing page and product website deployment
Social media platforms (X/Twitter, LinkedIn, Instagram, and others) — Content publishing and account management

Astra is not affiliated with, endorsed by, or a partner of these platforms unless explicitly stated in platform announcements. Astra's ability to interact with these platforms via Computer Use is dependent on their interfaces remaining consistent and accessible, which is outside of Astra's control.

5. Marketing and Outreach Disclosure

Astra's Marketing Agent sends outbound email communications, manages paid advertising campaigns, and publishes social media content on your behalf. You acknowledge that:

You are the sender of record for all email communications dispatched by the Marketing Agent.
You are responsible for compliance with applicable email laws, including the CAN-SPAM Act (United States), CASL (Canada), and GDPR (European Union), with respect to all contacts in lists you provide or authorize.
All contact lists used for outbound marketing must be lawfully obtained. You represent that you have appropriate permission to contact the individuals included in any list you provide to Astra.
Paid advertising campaigns authorized by you are billed directly by Google Ads and Meta Ads to your payment method on file with those platforms. Astra does not control your advertising spend beyond campaign setup parameters you approve.
Astra is not a licensed advertising agency and does not guarantee advertising performance, conversion rates, or return on ad spend.

6. Market Research Disclosure

Market research reports generated by the Research Agent are produced using AI synthesis of publicly available web data. These reports are provided for informational purposes only. They do not constitute investment advice, financial analysis, or professional market research. Astra makes no warranty as to the accuracy, completeness, or timeliness of market data presented in Research Agent outputs. TAM, SAM, and SOM estimates presented in research reports are AI-generated approximations based on available data and should be independently verified before use in investor presentations or business planning.

7. Technical Development Disclosure

Code and technical specifications generated by the Technical Agent are AI-generated and have not been reviewed by a licensed software engineer or security professional on Astra's behalf. You are responsible for reviewing all generated code for security vulnerabilities, compliance with applicable software licenses, and fitness for your intended purpose before deploying it in production environments.

8. AI Limitations Disclosure

AI language models, including those powering Astra's Agent Stack, have known limitations including:

Potential for inaccurate, outdated, or hallucinated information in generated content
Inability to guarantee legal sufficiency or enforceability of generated documents in all jurisdictions
Performance variability based on the specificity and clarity of input provided
Potential for outputs that reflect biases present in training data

Astra actively works to mitigate these limitations through model selection, evaluation, and the Approval Queue system. However, no AI system is infallible. You should apply appropriate human judgment to all agent outputs before acting upon them.

9. Acknowledgment

By activating your Astra account and engaging the Agent Stack, you acknowledge that you have read and understood all disclosures contained in this document, that you understand the AI-generated nature of all platform outputs, and that you accept the responsibilities outlined herein.
